Affiliate Program Terms and Conditions

By signing up as a Sell More Now Inc. affiliate, you agree to the following Terms of Service:

This agreement describes the entire terms and conditions for participation in the Sell More Now Affiliate Program and pertains to the reselling of Sell More Now products and services.

In this agreement, the term "Affiliate" refers to you (the applicant). Wherever the agreement refers to "you" or "your", it means "the Affiliate"; "we" or "our" refers to Sell More Now Inc. "Product" or "products" is meant to include both physical products and services.

Affiliate Site

Sell More Now will create a unique URL for you. We are not responsible for or in connection with any failure, deficiency, or availability of the URL or related web sites.

Commissions

You will receive a percentage of the revenue as a commission from orders placed through your Affiliate URL for Sell More Now products. The percentage varies by product. Current affiliate percentages are available any time from Sell More Now. Your percentage is based on the retail price of the product and does not include shipping and handling or finance charges. For a sale to generate a commission to an Affiliate, the customer must complete the order form and remit full payment for the product ordered. Commissions will only be paid on sales that are made through qualified Affiliate links.

Payment

Sell More Now will pay you between the 10th and 20th of the month, based on sales made the previous months. Payment will be made by US Check.

Before we send your first commission payment, we must have received a completed Sell More Now Affiliate Payee Information form (click here). Print it. Fill it out. Sign it. Then snail-mail it to the address on the bottom of the form. And then, and only then, will we start sending money your way.

Typically, we will pay you 50% of your commission the month following the sale, and 50% (less returns) the month after the end of the refund period of the product sold (typically 90 days).

You might find this hard to believe, but there are dishonest people out there. Some of them might place orders in the hope of getting their affiliate commission paid within the refund period. And then returning the product. Leaving us in the red.

We reserve the right to pay out commissions as we see fit, on a case-by-case basis. In every case, you will be paid 100% of your affiliate commission no later than 30 days after the end of the refund period of the product(s) sold.

Customers

Customers who purchase products and services through the Affiliate Program will be deemed to be customers of Sell More Now.

Products

Prices and availability of our products and services may vary from time to time. Sell More Now policies will always determine the price paid by the customer.

Qualifying Sites

Sell More Now may reject your application or terminate you if we determine (in our sole discretion) that your site or marketing practices are unsuitable for the Program for any reason. Sites that Do Not Qualify for the Affiliate Program include sites we determine (in our sole discretion) to:

• Promote sexually explicit materials
• Be harmful, threatening, defamatory, harassing, obscene, or sexually explicit
• Be racially, ethically, or otherwise objectionable
• Be defamatory, slanderous or trade libelous
• Promote violence
• Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
• Promote illegal activities; or
• Infringe or otherwise violate any copyright, trademark, or other intellectual property rights.

Unsolicited Commercial Email or SPAM

Sell More Now has a strict policy against mass unsolicited emailing (i.e. spamming). Sell More Now in no way participates in spamming. All Affiliates are expected to adhere to this policy as well. Under no circumstances may Sell More Now products be promoted by unsolicited email. We are VERY serious about this. Violation of this policy will result in the termination of this contract and immediate dismissal from the Sell More Now Affiliate Program. And we might just turn evidence of your spamming and your contact information over to The Feds. The fine can be up to $500 per spam email sent.

Bottom line: If you spam you’re out!

Relationship of Parties

You and we are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict this statement.

YOU ACCEPT EXCLUSIVE LIABILITY FOR ALL PAYROLL TAXES AND CONTRIBUTIONS IMPOSED BY FEDERAL OR STATE LAWS.

Term and Termination

The term of this Agreement will begin when you accept and will end when terminated by either party.

You agree: to use our system in a manner that is ethical and in conformity with community standards; to respect the privacy of other users (you shall not intentionally seek data or passwords belonging to other users, nor will you modify files or represent yourself as another user unless explicitly authorized to do so by that user); to respect the legal protection provided by copyright law, trade secret law, or other laws protecting intellectual property; to accept commercial emails from us.

We reserve the right to change the terms and conditions of this Agreement as needed. Use of your affiliate URL by you after said changes constitutes acceptance of those new terms and conditions. This includes, but is not limited to, the right to change our product prices and affiliate commission rates at any time. If you do not agree to the new terms and conditions, you may terminate this Agreement.

Either Sell More Now or you may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. Upon the termination of this Agreement for any reason, all licenses granted hereunder shall immediately terminate and you will immediately cease use of, and remove from Affiliate's Web Site, all links to the Sell More Now Site, and all Sell More Now trademarks and logos, other Sell More Now Marks and all other materials provided in connection with this Agreement.

Assignment

This Agreement is personal to you. You may not assign your rights under this Agreement without our prior written consent. You should not consider your status as a Sell More Now Affiliate a saleable asset. We may assign this Agreement at any time.

Miscellaneous

You agree that we make no claims regarding the amount of revenue you will make.

You agree to notify us if your address, email address, telephone number or contact information changes.

We may change our policies and operating procedures at any time.

The subject headings of the articles and sections are for convenience only, and shall not affect the construction or interpretation of any of its provisions.

You agree not to hold us accountable for circumstances beyond Sell More Now's reasonable control, including, without limitation, acts of any governmental body, war, insurrection, sabotage, armed conflict, embargo, fire, flood, strike or other labor disturbance, interruption of or delay in transportation, unavailability of or interruption or delay in telecommunications or third party services, virus attacks or hackers, failure of third party software (including, without limitation, ecommerce software, payment gateways, chat, statistics or free scripts).

Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.

If any of the provisions of this Agreement are determined by a court to be unenforceable, they shall be severed from this Agreement, and the remaining provisions shall remain in full force and effect.

By this Affiliate Program, you acknowledge that you have read this agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee or statement other than as set forth in this agreement.

Applicable Law

This Agreement shall be governed by the laws of the state of Idaho, United States of America. In the event of a dispute, the parties agree to submit the matter to a recognized Arbitration Board located within the state of Idaho, county of Cassia, before instituting litigation.
